Terms of Use

These Terms of Use ("Terms") govern your access to and use of CarrierSignal, including the CarrierSignal website and application available at getcarriersignal.com and related services (collectively, the "Service").

CarrierSignal is operated by Veridian Digital LLC, a Michigan limited liability company doing business under the assumed name CarrierSignal ("CarrierSignal," "we," "us," or "our").

By creating an account, purchasing a subscription, or otherwise accessing or using the Service, you agree to these Terms. If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of a company, agency, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "your" refer to both you and that organization.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

The Service is intended primarily for business and professional use, including use by insurance producers, agencies, and related professionals.

You may not use the Service if applicable law prohibits you from doing so.

2. CarrierSignal Services

CarrierSignal provides a carrier-search and data-enrichment platform designed to help users search, analyze, and evaluate publicly available information relating to motor carriers.

Depending on your subscription plan, the Service may include:

• Carrier search;
• Unlimited searches;
• Unlimited exports;
• Carrier profiles;
• Core carrier intelligence;
• Chameleon detection;
• Estimated ISS information;
• Insurance history;
• Saved searches;
• Team and organization functionality;
• Priority support;
• Advanced onboarding;
• Integrations and custom workflows for certain Enterprise customers.

Features may vary by subscription plan and may be changed, added, or removed from time to time.

3. Public and Third-Party Data

CarrierSignal incorporates information obtained from public sources, including information originating from the Federal Motor Carrier Safety Administration ("FMCSA") and U.S. Department of Transportation, as well as information derived or calculated by CarrierSignal.

CarrierSignal may organize, normalize, calculate, estimate, or otherwise enrich information obtained from public sources.

Important Limitations

CarrierSignal does not guarantee that information available through the Service is:

• Complete;
• Accurate;
• Current;
• Error-free;
• Suitable for a particular purpose;
• Available at all times.

Certain information, including estimated scores, classifications, alerts, risk indicators, or other derived information, is not official FMCSA or government determinations unless expressly identified as such.

For example, an "Estimated ISS" value is an estimate generated by CarrierSignal and should not be treated as an official FMCSA ISS score.

You are responsible for independently verifying information before relying on it for underwriting, insurance, regulatory, compliance, business, or other decisions.

4. No Guarantee of Insurance or Business Outcomes

CarrierSignal is a search and information tool. It does not guarantee that use of the Service will result in:

• New customers;
• Insurance policies;
• Approved applications;
• Increased revenue;
• Reduced losses;
• Improved underwriting results;
• Accurate predictions of carrier behavior;
• Any particular business outcome.

CarrierSignal does not make underwriting, insurance, credit, employment, or other decisions on your behalf.

You are solely responsible for your decisions and for complying with applicable laws, regulations, and industry requirements when using information obtained through the Service.

5. Accounts

Certain features require an account.

You agree to:

• Provide accurate and current information;
• Keep your account credentials secure;
• Not share your individual login credentials with unauthorized persons;
• Notify us if you believe your account has been compromised;
• Be responsible for activity occurring through your account.

Authentication and account management are provided through third-party authentication services.

We reserve the right to suspend or terminate accounts that violate these Terms or create security, legal, or operational risks.

6. Organizations and Seats

CarrierSignal subscriptions are purchased by organizations and include a specified number of seats.

A "seat" generally corresponds to one authorized user who is a member of the organization.

Current Plans

Pricing and features may change as described in these Terms.

Organization administrators are responsible for managing members and ensuring that the organization's use of seats complies with its subscription.

You may not share a single seat among multiple individuals or use a subscription to provide unauthorized access to persons outside the organization.

7. Subscriptions and Billing

CarrierSignal subscriptions are billed on a recurring monthly basis unless otherwise agreed in writing.

By subscribing, you authorize CarrierSignal and its payment processor to charge the applicable subscription fee and any applicable taxes to your selected payment method.

Subscription Renewal

Subscriptions automatically renew at the applicable subscription rate unless canceled before the next billing period.

Plan Changes

You may change your subscription plan through the available billing functionality.

Plan changes may result in prorated charges or credits where applicable.

Certain plan changes may be subject to seat limitations or other restrictions.

Cancellation

You may cancel your subscription through the available billing portal or by following the cancellation process provided by CarrierSignal.

Unless otherwise stated at the time of cancellation, cancellation generally takes effect at the end of the current billing period.

You will generally retain access through the remainder of the paid billing period.

Taxes

You are responsible for applicable sales, use, value-added, or other taxes associated with your subscription, except taxes imposed on CarrierSignal's net income.

8. Refunds

No General Refunds:

Except where required by law or expressly stated otherwise, subscription payments are non-refundable. If you cancel a subscription, you will generally retain access through the end of the applicable billing period but will not receive a refund for unused time.

Refund Policy:

Any promotional offer, refund guarantee, or other special offer will be governed by the terms presented when the offer is made.

9. Acceptable Use

You may use CarrierSignal only for lawful business purposes and in accordance with these Terms.

You may not:

• Use the Service for unlawful purposes;
• Violate applicable laws or regulations;
• Attempt to gain unauthorized access to accounts, organizations, systems, or data;
• Circumvent subscription limits or seat restrictions;
• Share credentials or provide unauthorized access;
• Resell, sublicense, lease, or commercially redistribute access to the Service without our written permission;
• Scrape, crawl, or systematically extract the CarrierSignal application or its underlying systems except through functionality expressly provided by the Service;
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service, except where prohibited by applicable law;
• Interfere with or disrupt the Service;
• Introduce malicious code or other harmful material;
• Attempt to bypass security controls;
• Use automated means to abuse or overload the Service;
• Use the Service to build or operate a competing database or service using CarrierSignal's proprietary organization, presentation, enrichment, or derived information;
• Remove proprietary notices or trademarks;
• Use information obtained through the Service in a manner that violates applicable privacy, insurance, regulatory, or other laws.

We may suspend or terminate access if we reasonably believe you have violated these restrictions.

10. Search Results and Exports

CarrierSignal may allow you to export search results or other information.

Exports are provided for your authorized business use and remain subject to these Terms.

You are responsible for determining whether your use, storage, transmission, or distribution of exported information complies with applicable laws and contractual obligations.

You may not use exports to create an unauthorized competing database, redistribute CarrierSignal's proprietary enrichment or derived data, or otherwise circumvent the Service.

11. Your Responsibility for Use of Data

You are solely responsible for how you use information obtained through CarrierSignal.

In particular, you are responsible for:

• Verifying information before making consequential decisions;
• Complying with applicable federal, state, and local laws;
• Complying with applicable insurance regulations;
• Maintaining appropriate records;
• Obtaining any required permissions or authorizations;
• Determining whether particular information may legally be used for a particular purpose.

CarrierSignal does not provide legal, regulatory, insurance, underwriting, financial, or compliance advice.

12. Intellectual Property

The Service and its original content, features, functionality, software, branding, design, organization, presentation, and other materials are owned by or licensed to CarrierSignal and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, CarrierSignal grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your active subscription for your authorized internal business purposes.

Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, publicly display, sell, license, or create derivative works from CarrierSignal's proprietary materials.

Public Data

Certain underlying data made available through CarrierSignal may originate from public sources and may be subject to rights, restrictions, or terms applicable to those sources.

CarrierSignal does not claim ownership of public information merely because it is incorporated into the Service.

CarrierSignal's organization, presentation, software, enrichment, calculations, derived information, and other proprietary components may nevertheless be protected by intellectual property rights.

13. Your Content

You retain ownership of information that you independently provide to CarrierSignal, subject to the rights necessary for us to operate the Service.

You grant CarrierSignal a limited license to process such information as reasonably necessary to:

• Provide the Service;
• Authenticate your account;
• Manage your organization;
• Process billing;
• Provide customer support;
• Maintain security;
• Comply with legal obligations.

CarrierSignal does not claim ownership of your organization's internal information merely because you provide it through the Service.

14. Feedback

If you provide suggestions, ideas, recommendations, or other feedback regarding CarrierSignal, you grant us permission to use that feedback without restriction or compensation to you.

You are not required to provide feedback.

15. Third-Party Services

CarrierSignal relies on third-party services to provide portions of the Service, including authentication, payment processing, hosting, analytics, and other functionality.

Third-party services may be subject to their own terms and privacy policies.

CarrierSignal is not responsible for the availability, functionality, or policies of third-party services that operate independently from CarrierSignal.

16. Availability and Changes to the Service

We strive to keep CarrierSignal available and reliable, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of:

• Maintenance;
• Updates;
• Technical problems;
• Security incidents;
• Third-party service interruptions;
• Internet or infrastructure failures;
• Events beyond our reasonable control.

We may modify, update, suspend, or discontinue portions of the Service at any time.

We may also introduce new features or impose reasonable usage limitations.

17. Support

Support varies by subscription plan.

Growth and Enterprise customers may receive priority or dedicated support as described in their applicable plan or agreement.

Unless expressly agreed otherwise in writing, CarrierSignal does not guarantee a particular support response time or resolution time.

18. Enterprise Agreements

Enterprise customers may receive custom pricing, seats, integrations, workflows, or support under a separate written agreement.

If an Enterprise customer enters into a written agreement with CarrierSignal that conflicts with these Terms, the written Enterprise agreement will control with respect to the conflicting provision.

19. Confidentiality

Unless otherwise agreed in writing, these Terms do not create a general obligation for CarrierSignal to maintain all information provided through the Service as confidential beyond the protections described in our Privacy Policy and applicable law.

Enterprise customers may request a separate confidentiality or data-processing agreement where appropriate.

20. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate your access if:

• You materially violate these Terms;
• Your subscription payment is overdue or fails;
• Your use creates a security or legal risk;
• You engage in fraud or abuse;
• We are required to do so by law;
• Continued access could reasonably expose CarrierSignal or others to liability.

Where reasonably practicable, we may provide notice before terminating access for a violation and an opportunity to remedy the violation.

Termination does not relieve you of payment obligations incurred before termination.

21. Effect of Termination

When your subscription or account ends, your right to access the Service terminates.

Certain provisions of these Terms will survive termination, including provisions concerning:

• Intellectual property;
• Acceptable use;
• Payment obligations;
• Disclaimers;
• Limitations of liability;
• Indemnification;
• Governing law;
• Dispute resolution;
• Any other provisions that by their nature should survive termination.

22. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

CARRIERSIGNAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED;
• THE SERVICE WILL BE ERROR-FREE;
• INFORMATION WILL BE COMPLETE, ACCURATE, OR CURRENT;
• SEARCH RESULTS WILL MEET YOUR REQUIREMENTS;
• ESTIMATES OR DERIVED INFORMATION WILL ACCURATELY PREDICT FUTURE EVENTS;
• THE SERVICE WILL PRODUCE ANY PARTICULAR BUSINESS, INSURANCE, OR FINANCIAL RESULT.

You are responsible for independently evaluating information obtained through the Service before relying on it.

Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARRIERSIGNAL AND VERIDIAN DIGITAL LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARRIERSIGNAL'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID TO CARRIERSIGNAL FOR THE SERVICE DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
2. $100.

These limitations apply regardless of the legal theory on which a claim is based.

Some jurisdictions do not permit certain limitations of liability, so some portions of this section may not apply to you.

24. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless CarrierSignal and Veridian Digital LLC, together with their officers, employees, contractors, and agents, from claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• Your use or misuse of the Service;
• Your violation of these Terms;
• Your violation of applicable law;
• Your violation of another person's rights;
• Information or content you submit to the Service;
• Your use or distribution of information obtained through the Service.

25. Governing Law and Disputes

These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of Michigan, without regard to its conflict-of-law principles.

You and CarrierSignal agree that any legal action or proceeding arising out of or relating to these Terms or the Service must be brought in the state or federal courts located in WAYNE COUNTY, Michigan, and each party consents to the jurisdiction and venue of those courts.

Nothing in this section prevents either party from bringing an eligible claim in small claims court or seeking temporary or preliminary injunctive relief from a court when permitted by applicable law.

To the extent permitted by law, you and CarrierSignal waive any objection to personal jurisdiction, venue, or inconvenient forum in the courts identified above.

This section does not limit any rights or remedies that cannot legally be waived under applicable law.

26. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the "Last Updated" date.

If we make material changes, we may provide additional notice where appropriate.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by law.

27. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

28. Entire Agreement

These Terms, together with any applicable order form, Enterprise agreement, Privacy Policy, and other agreements expressly incorporated by reference, constitute the agreement between you and CarrierSignal concerning your use of the Service.

29. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

30. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

CarrierSignal may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.
